  • VIVACOM with revenue and EBITDA growth for the first half of 2018

    Financial results for the first half of 2018 show strong growth of IPTV and fixed broadband subscribers

     

         VIVACOM is the largest telecom in total revenue on the Bulgarian market with nearly BGN 453 million for the period January - June 2018;

         VIVACOM reports Adjusted EBITDA growth of 5.8% compared to H1 2017;

         VIVACOM reports growing mobile service revenue market share – 30%;

         VIVACOM retains leading position in fixed broadband with 26% subscriber market share;

         VIVACOM is the leading IPTV operator – with subscriber growth of 15.6% compared to H1 2017;

         4G network with best population coverage - 99% of Bulgarian population[1], for which the Company received award from Global Wireless Solutions (GWS)[2].

     

    VIVACOM retains its leading position on the Bulgarian telecom market reporting growth of 4.8% of total revenue for the first half of 2018 compared to the same period last year - nearly BGN 453 million. Despite the highly competitive business environment, the Company reports steady Adjusted EBITDA growth of 5.8% to BGN 170.5 million

     

    The Company reach 30% market share in mobile service revenue, with total mobile subscribers of 3,053,000, 88% of which are on postpaid subscription plans under term contracts. The share of mobile broadband revenue from total mobile service revenue continues to grow. In Q2 2018, it stands at 43% compared to 35% for the same period in 2017. This positive trend is supported by extension of 4G network coverage to 99% of the population, measured by GWS.

     

    Traditionally, VIVACOM is the leader in the provision of fixed services and retains this position in the fixed broadband segment with 492,000 subscribers, which represents growth of 9.0% compared to the same period last year. Over half of the subscribers use high-speed access via our fiber-optic network which already covers 1,150,000 households across the country.

     

    VIVACOM is the leading provider of the most advanced television service – Interactive TV (IPTV) – with 15.6% subscriber growth compared to same period last year. At the end of H1 2018, 47.3% of total 456,000 pay-TV subscribers have chosen our IPTV platform.

     

    Our capital expenditures for the first half of 2018 amounts to BGN 65 million. 66% of our total investments for the period are focused in development of technology infrastructure, which drives the GWS''s measured best 4G network population coverage in Bulgaria.

  • Bulgarian Telecommunications Company partners with Gazprom Space Systems to deliver VSAT data and broadcast services

    VIVACOM will use Yamal-402 satellite capacity in Ku-band in European-Southern Beam for VSAT data transmission and media services.

    Bulgarian Telecommunications Company (VIVACOM) concluded contract with Gazprom Space Systems, to use satellite capacity for VSAT data and broadcasting services.  VIVACOM will use Yamal-402 satellite capacity in Ku-band in European-Southern Beam for VSAT data transmission and media services.

    Uplink is done from VIVACOM’s own teleport in Bulgaria - Plana.

    VIVACOM retains its leading position on the Bulgarian telecom market with highest total revenue[1] of BGN 223 million for the first quarter of 2018. The Company reports 5.6% growth compared to same period last year. Despite the highly competitive market environment, VIVACOM reports stable adjusted EBITDA growth of 11.6% to BGN 86 million. VIVACOM continues to increase its revenues from mobile services, achieving nearly 30% market share with 3 048 000 mobile subscribers, 89% of which are using postpaid subscriptions. The share of mobile data revenue from mobile service revenue continues to grow, reaching 41% in the first quarter of 2018, compared with 34% for the same period in 2017.

     

    The positive trend above is supported by extension of the 4G network to 99% of the population, measured by GWS.[2]

     

    VIVACOM is the leading operator in provision of the most advanced television service - interactive TV (IPTV). 47% of 451,000 pay-TV subscribers have chosen the interactive television during the first quarter of 2018, which represents 4 percentage points increase over the same period last year.

  • VIVACOM successfully refinanced its EUR 400 million Senior Secured Notes ahead of maturity

    Today Bulgarian Telecommunications Company EAD (“VIVACOM”) successfully completed the refinancing of its EUR 400 million Senior Secured Notes (“SSN”) ahead of their maturity date. The Company has delisted the SSN from the Official List and from trading on the Main Securities Market of the Irish Stock Exchange.

    19.04.2018, Sofia – Today Bulgarian Telecommunications Company EAD (“VIVACOM”) successfully completed the refinancing of its EUR 400 million Senior Secured Notes (“SSN”) ahead of their maturity date. The Company has delisted the SSN from the Official List and from trading on the Main Securities Market of the Irish Stock Exchange.

     

    The refinancing was performed following successful negotiation of EUR 345 million Senior Facilities Agreement (“SFA”) with a syndicate of more than a dozen financial institutions. The SFA is comprised of several tranches with maximum tenor of 5.25 years and interest rates based on EURIBOR plus margins between 1.25% and 3.75% per annum. The financial terms of the new financing are significantly more favorable to the Company than those of the SSN, which would allow VIVACOM to focus on its development program with further investments in network infrastructure and the quality of its services.

     

    In 2017 VIVACOM improved its financial performance and managed to decrease the net leverage ratio (calculated as ratio of Net debt to Adjusted EBITDA) to below 2.0, and the liquidity position of the company remains strong after the refinancing.

     

    Recently Moody’s Investors Service (“Moody’s”) has upgraded the long-term credit rating of VIVACOM to “Ba3” from “B1”. The higher rating reflects the Company''s solid performance and its position as a leading telecom operator in Bulgaria with high market shares in fixed-line business, strong track record of growing mobile market share and revenues, as well as the expectations for further growth and development.

    Reference is hereby made to the indenture dated as of November 22, 2013 (as supplemented, amended or modified from time to time, the "Indenture"), among, inter alios, Bulgarian Telecommunications Company EAD (the "Issuer"), U.S. Bank Trustees Limited as trustee (the “Trustee”) and Elavon Financial Services DAC (formerly called Elavon Financial Services Limited) , UK Branch, as paying agent (the "Paying Agent") and transfer agent. Capitalised terms used but not otherwise defined herein shall have the meaning assigned to them in the Indenture.

     

    Pursuant to Section 3.03 of the Indenture, notice is hereby given by the Issuer that subject to paragraph 2, below, the Issuer has elected to redeem all of the Notes and the Issuer hereby provides the following information relating to the redemption of the Notes:

     

    1. Subject to paragraph 2, below:

    a. the redemption date will be April 19, 2018 (the "Redemption Date");

    b. the record date will be April 18, 2018 (the "Record Date");

    c. the Issuer will redeem 100% of the principal amount outstanding of the Notes;

    d. the Notes are to be redeemed according to Section 3.07(e) of the Indenture and Paragraph 5(e) of the Notes;

    e. the Notes will be redeemed at a redemption price of 100.000 % (the " Redemption Price") of the principal amount of the Notes to be redeemed plus accrued and unpaid interest to, but not including, the Redemption Date in an amount equal to €11,336,111.11 per €400,000,000 principal amount of Notes plus Additional Amounts, if any (together with the Redemption Price, the "Redemption Payment"); and

    f. on the Redemption Date, the Redemption Payment will become due and payable upon the Notes and, unless the Issuer defaults in making the Redemption Payment, interest on the Notes shall cease to accrue on and after the Redemption Date.

    2. The redemption of the Notes is subject to the satisfaction (as determined by the Issuer in its sole and absolute discretion) of the following conditions precedent:
    (a) the Issuer has satisfied all conditions precedent and any other requirements such that it has become entitled to draw and has made a utilisation request to draw facilities in a principal amount of at least €345,000,000 under a senior facility agreement dated December 22, 2017; and
    (b) the receipt in euros at least one Business Day prior to the Redemption Date by the Trustee or (if designated by the Trustee) the Paying Agent of the proceeds of the facilities referred to in paragraph 2(a) above and such other funds sufficient to pay the Redemption Payment on the Redemption Date.
    Accordingly, in the Issuer''s sole discretion, the Redemption Date and the corresponding Record Date may be moved to such earlier or later time as specified by the Issuer or the redemption may not occur and this notice may be rescinded in the event that either of the conditions precedent described in this paragraph 2 are not satisfied (or waived by the Issuer in its sole discretion) by the Redemption Date, or by the Redemption Date as so moved; provided that, in each case, the Issuer sends a supplemental notice to this Notice of Full Redemption indicating the new redemption date and corresponding record date as so moved.

     

    Payment of the Redemption Payment in respect of Definitive Registered Notes will only be made upon presentation and surrender of the Notes to the Paying Agent at the place set forth below:

    • VIVACOM 4G mobile coverage spans to 99% of the population and 90,77% of the territory of the country**

     

      

    09.03.2018 – In line with the best practices for corporate reporting and transparency, VIVACOM reported its 2017 results in an Integrated Annual Report. The Company retains its leading position on the Bulgarian telecom market for fifth consecutive year with total revenue of BGN 890 million, which is an increase of 1.6% compared to 2016. The telecom also marks steady growth of 2.7% in adjusted EBITDA.

     

    VIVACOM continues to increase its market share in mobile service revenue, reaching  29% share for 2017. The Company reports 3.085 million mobile subscribers, with growing postpaid share – 89% compared to 87% at the end of 2016. VIVACOM also achieved the best balance compared to other operators in terms of mobile number portability with over 147,000 port-in subscribers.

     

    The share of mobile data revenue from mobile service revenue continues to grow, reaching 37% in the fourth quarter of 2017, compared with 33% for the same period in 2016. Company's 99% 4G coverage of the country's population and 90,77% of the territoryhas also contributed to this growth. For comparison, at the end of 2016, reported coverage was 87% of the population and 48.64% of the territory. In addition, VIVACOM manages to retain the ARPU at sustainable level despite strong competition on the market – BGN 11.4 for the fourth quarter of 2017.

     

    As end of 2017, VIVACOM is the leader on the fixed broadband market with a total of 480,000 subscribers compared to 437,000 in 2016. 54% of VIVACOM’s fixed broadband subscribers use the fiber-optic network which provides speeds of up to 900 Mbps. As end of 2017, nearly 1 130 000 households are covered by the fiber-optic network. In 2017, the telecom added 4 new cities to its optical coverage - Dupnitsa, Pernik, Targovishte and Veliko Tarnovo. Additionally, more than 40 settlements or nearly 57,000 households have access to Fiber Net through an optical network built under FTTc topology.

     

    VIVACOM remains the most preferred IPTV operator, maintaining  its leading position with 61% market share in delivering the most advanced television service - IPTV. VIVACOM’s pay-TV customers increased from 410,000 in 2016 to 447,000 as end of 2017. Parallel to the reported positive trend, the telecom also reached higher share of IPTV subscribers - 46% compared to 42 % at the end of 2016. The increasing number of new customers is driven by demand for high quality services with superior user experience, rich content and HD channels.

     

    VIVACOM retains strong focus on infrastructure in its investment program for 2017, investing considerable resources in network expansion, capacity improvement, sustainability and long-term efficiency of both the mobile and fixed networks. Total amount of VIVACOM's capital investments in 2017 is BGN 181 million, 73% of which are invested in development and maintenance of the network infrastructure.

     

    The Company will continue to focus on infrastructure development in line with the fast-paced new technologies and innovations as well as provision of high quality services. VIVACOM's optic network will also remain as priority aiming at expanding its coverage with thousands new households.

     

    This year, VIVACOM reported its results in an Integrated Annual Report, which provides a comprehensive view of Company's performance in 2017. The report includes analysis of the value which the Company creates for all stakeholders and the society as a whole. The Integrated Annual Report content elaborates on the continuous interaction and influence of the external environment on Company’s strategy, governance, performance and future outlook.     14.11.2017, Sofia, Bulgaria– VIVACOM affirms its leading position on the Bulgarian telecom market by reporting the highest total revenue of BGN 662 million. The company increased its revenues from both mobile and fixed services compared to the same period last year.

     

    The company marks a steady growth in the number of mobile subscribers, ending the third quarter of 2017 with 3,186,000 mobile subscribers, which is nearly 30,000 more compared to the same period in 2016. 87% of the mobile subscribers prefer postpaid subscription plans under term contracts. The share of mobile broadband revenue from total mobile service revenue continues to grow. In the third quarter of 2017, it stands at 35% compared to 32% for the same period in 2016.

     

    VIVACOM is a leader in the provision of fixed services and retains its leading position in the fixed broadband segment with 464,000 subscribers and 26% market share. More than half of the subscribers use high-speed access via owned fiber-optic network which already covers 1,100,000 households across the country.

     

    VIVACOM is the most preferred IPTV operator in the third quarter of 2017. 45% of our 434,000 pay-TV subscribers use the most advancedand interactive television service - IPTV. This represents a 4 percentage points increase compared to the same period in 2016.

     

    As end of the third quarter of 2017, VIVACOM reaches 94% population coverage of its 4G network, which is the fastest mobile network in Bulgaria, according to the speed test results by Ookla for 2017*. 992 settlements in the country already have access to high-speed mobile broadband. Capital expenditures for the January - September 2017 period are BGN 126 million, 75% of which invested in network modernisation.

     

    VIVACOM will continue to invest in the development of its technology infrastructure and plans to achieve 99% population coverage and 83% territory coverage of its 4G mobile network by the end of 2017.

  • VIVACOM teleport achieves full certification from WTA

    The Bulgarian facility is one of the 20 teleports worldwide with such a certificate

    (October 23, 2017 ) – The World Teleport Association (WTA) today announced that VIVACOM has achieved Tier 3 full certification of its Plana (Bulgaria) teleport under WTA’s Teleport Certification Program.

     

    That places the Bulgarian satellite station among the most modern facilities of that kind worldwide - 20 teleports are already certified and a further 12 are currently engaged in the quality evaluation process.

     

    “We constantly invest in the improvement of our teleport infrastructure with the aim to continue to provide our customers with reliable satellite transmission solutions and to increase our satellite service portfolio. This certification is a recognition of our efforts in creating 7 platforms for signal transmission to operators in Europe, Africa, Middle East and Asia“, said Vladimir Rangelov, Head of Broadcasting Services at VIVACOM.

     

    The process of obtaining the certificate is long and comprehensive to ensure its objectivity. The teleport operator should meet over 170 requirements that afterwards are thoroughly and analyzed through an on-site audit.

     

    The Bulgarian Plana teleport was certified as a Tier 3 teleport, thus becoming part of the elite club of certified teleports such as Globecomm, Elara Comunicaciones, GlobalSat, Arqiva, Eutelsat, Horizon Teleports, Media Broadcast, Signalhorn, Telenor, Telesapzio, Talia, CYTA, Batelco and Optus.

     

    “We are proud to add the Plana Teleport in Bulgaria to our growing list of certified teleports,” said executive director Robert Bell. “A Full Certification from WTA provides independent validation of the quality of VIVACOM’s operations for its customers and prospects throughout the region.”

    08.08.2017, Sofia, Bulgaria - VIVACOM retains its leading position on the Bulgarian telecom market, reporting the largest total revenues of BGN 432 million at the end of the first half of 2017. Compared to the same period last year, the Company achieves an increase of BGN 2.5 million.

     

    In the first half of the 2017, revenue grows in both mobile and fixed segments, with revenue for the period amounting to respectively BGN 247 million from mobile services and slightly over BGN 174 million from fixed-line services.

     

    VIVACOM maintains stable revenues from mobile services. In comparison to the end of 2016, the Company ends the first half of 2017 with increased market share - 28.4%.

     

    VIVACOM marks an increase in the total number of mobile subscribers. At the end of June 2017, the mobile subscribers amount to 3,135,000 while for the same period of previous year is 72,000 less. Mobile ARPU remains stable, keeping growth trend in data usage from 31% for second quarter of 2016 to 35% for the same period in 2017.

     

    VIVACOM is the leading fixed broadband operator with 26% market share and steady trend in subscribers growth - from 444,000 subscribers for the first quarter of 2017 to 452,000 at the end of the second quarter. In comparison, at the end of the same period in 2016, the fixed broadband subscribers amounts to 411,000.

     

    VIVACOM retains leadership position also in providing the most advanced TV service - Interactive TV (IPTV), increasing the percentage of the IPTV subscribers out of 426,000 pay-TV subscribers to 44%.  In comparison, at the end of the same period of 2016, the IPTV subscribers are 40% out of a total of 390,000 subscribers.

     

    In 2017, VIVACOM proves to have the fastest mobile network in Bulgaria, achieving the highest mobile average download speed. The Company has received the award based on analysis conducted by Ookla via Speedtest for the first six months of 2017. At the end of the first half of 2017, VIVACOM provides 4G mobile coverage to 94% of the population in the country. The Company invests in network development focusing on improving not only the coverage, but also the capacity, resilience and long-term efficiency. For the period ended 30 June 2017, VIVACOM reports investments amounting to BGN 84 million, 76% of which are invested in network development.

  • Change of Managing Board composition

    On 16.06.2017 Mr. Dimitrios Lioupis was registered in the Bulgarian Commercial Register as new Managing Board member of Bulgarian Telecommunications Company EAD (VIVACOM).

    Sofia, 19.06.2017 - On 16.06.2017 Mr. Dimitrios Lioupis was registered in the Bulgarian Commercial Register as new Managing Board member of Bulgarian Telecommunications Company EAD (VIVACOM). He was appointed to the Managing Board pursuant to a resolution of the Supervisory Board of the Company.

     

    Mr. Dimitrios Lioupis is the Chief Marketing Officer of VIVACOM since February 2017. He has worked in major telecommunication operators in several countries and has held senior positions in Marketing, Product development and Customer services. His previous experience in Bulgaria includes the position of Director of Products and Services and subsequently Chief Marketing Officer in Globul (now Telenor Bulgaria) and Director of Products, Services, & Solutions in Mobiltel. He graduated in 1988 Master of Science in Computing, at University of Cardiff, Wales, United Kingdom and Bachelor of Science in Computer Science & Mathematics at University of Reading, United Kingdom in 1987.

     

    On the same date was entered the deregistration of Mr. Alexander Grancharov and Mr. Rusin Yordanov as members of the Managing Board. Current members of the Managing Board of Vivacom are: Mr. Atanas Dobrev, Mr. Radoslav Zlatkov, Mr. Asen Velikov, Mr. Miroslav Petrov and Mr. Dimitrios Lioupis.

    09.05.2017 – VIVACOM retains the leading position on the Bulgarian telecom market in terms of total revenues - BGN 211.1 million for the first quarter of 2017.

     

    VIVACOM continues to increase its mobile services revenues, with 28% market share for the first quarter of 2017. The Company achieved higher share of postpaid subscriptions in comparison to the same period in 2016, reaching 89% as end of March 2017. Total mobile customers at the end of March 2017 reach3 088 000, which represents 3% growth compared to 3 011 000 customers for the same period in 2016.

     

    VIVACOM is the leading fixed broadband operator, increasing its customer base from 400 000 at the end of Q1 2016 to 444 000 as end of March 2017. As a result of the continuing investments in fiber-optic infrastructure, the share of customers using VIVACOM’s fiber broadband network increased from 46% for the first quarter of 2016 to 52% at the end of March 2017.

     

    VIVACOM remains the leader in providing the most advanced pay-TV service - interactive television (IPTV). 43% of 416 000 total pay-TV subscribers as end of the first quarter of 2017 have chosen IPTV, which represents an increase of 4 percentage points in comparison to the same period last year. 

     

    In 2017, VIVACOM continues the policy to upgrade and develop its network by deploying new technologies as a basis for delivering high-quality services in response to the growing customer expectations. At the end of the first quarter of 2017, VIVACOM’s 4G network reached 90.18% population coverage, while at the beginning of May the coverage has exceeded 93% of the population in 916 settlements throughout the country.

     

    VIVACOM reports growth in its network investments for the first quarter of 2017. BGN 41 million, representing 75% of total capital expenditures, were invested in the Company’s technological infrastructure. In comparison, network investments for the same period in 2016 amounted to BGN 32 million, or 71% of total capital expenditures for Q1 2016. During 2017, the telecom will continue to invest substantial funds in order to provide high-quality, reliable and contemporary services to its customers.

  • Change of Supervisory Board members

    On 11.04.2017 Mr. Spas Roussev, Mr. Bojan Ivanovic, Mr. Franz Hörhager, Mr. Zeno Meier and Mr. Bruno Ducharme were registered in the Bulgarian Commercial Register as new Supervisory Board members of the Company.

    Sofia, 12.04.2017 - On 11.04.2017 Mr. Spas Roussev, Mr. Bojan Ivanovic, Mr. Franz Hörhager, Mr. Zeno Meier and Mr. Bruno Ducharme were registered in the Bulgarian Commercial Register as new Supervisory Board members of the Company. They were appointed to the Supervisory Board pursuant to a resolution of the sole owner of the share capital of the Company.

    They replace Mr. Michael Tennenbaum, Mr. Georgi Veltchev, Mr. Vladimir Penkov, Mr. Stefano Zuppet and Mr. Svetoslav Dimitrov who were the former members of the Supervisory Board.
