    United Group (UG) has used the opportunity of a constructive market backdrop to finalize a financing round of €1.73bn on the back of strong operational performance as evidenced by continued revenue and EBITDA growth.

    January 29, 2024 – United Group (UG) has used the opportunity of a constructive market backdrop to finalize a financing round of €1.73bn on the back of strong operational performance as evidenced by continued revenue and EBITDA growth. The proceeds will be used to repay the existing senior secured bonds due in 2026 and 2029, the existing Pay-If-You-Can PIK Notes due in 2025 and RCF drawings, effectively prolonging maturities of the refinanced 2025 and 2026 notes, reducing interest expense on the refinanced 2029 notes and further strengthening UG’s capital structure. 

     

    Persistently high revenue and adjusted EBITDA growth (+32% and 28% CAGR respectively for 2015 - 2022), strong EBITDA margin levels, significant improvement in scale and geographic and business diversification and an improved currency mix in recent years, combined with the deleveraging transaction of TowerCo sale, have led to Rating Agencies confirming UG’s credit rating of B2 (stable) / B (positive) (Moody’s / S&P). The transaction was well received by the investor community resulting in significantly oversubscribed orderbooks.

    VIVACOM is giving free of charge 30 000 MB per month to its customers to test the new technology until the end of 2020

      

     

    21.09.2020 Sofia Today VIVACOM launches its 5G network. For the first time in Bulgaria the 5G network is now available to customers simultaneously in all 27 dustrict centers. Every customer of VIVACOM with compatible 5G terminal can test the new technology completely free untill the end of the year. In that period Vivacomgives 30 000 MB per month of mobile internet traffic at maximum speed in addition to their subsctiption data allowance to its existing and new customers, so that all can experience the benefits of 5G. The additional data allowance will be activated automatically for all subscribers, who have a compatible 5G device to our new 5G network. After Ookla¹ speed test award for being the fastest mobile network in Europe, Vivacom is moving customer experience to the new level by introducing the first 5G network in Bulgaria.

    This is the first stage of the introduction of the new technology, which will provide coverage in the central urban areas of all regional centers. The new technology works simultaneously in the same frequency for both 4G and 5G. To achieve this, the company has used the method of dynamic spectrum sharing (DSS).

The deal became a fact after in November 2019 UNITED GROUP was selected to acquire the largest telecom in total revenues on the Bulgarian market for the last 7 years (including 2019). This follows the approval of the deal by the European Commission in April 2020 and the acquisition was finalized on 31 July 2020.

  • VIVACOM is donating BGN 300 000 to hospitals to help fightCOVID-19

    VIVACOM will donate equipment and fundsatthetotalamountofBGN 300 000 to three hospitals in Bulgaria to help the medical professionals fight COVID-19 and the Bulgarian society return faster to the standard way of working and living. The funds were raised in an initiative by which the company announced that it would donate the first monthly fees for all newly activated subscription services in April. Andforallservicesthathave beenactivatedonlineforthesameperiod, the Telecom undertakes to donate the amount of double the monthly fee.

     

    The funds will be distributed between ‘Saint Anna’ University Multiprofile Hospital for Active Treatment - Sofia, ‘Dr. Georgi Stranski’ University Multiprofile Hospital for Active Treatment - Pleven and theMultiprofile Hospital for Active Treatment - Blagoevgrad.

     

    A donation of the total amount of BGN 100 000 will be received by ‘Saint Anna’ University Multiprofile Hospital for Active Treatment in the capital. A modern disinfection robot that moves autonomously and uses an innovative cleaning system ‘dryfog’ will be provided as part of it. It has the capacity to sterilize large rooms and can replace standard disinfection with formaldehyde products, providing protection against various types of viruses. The smart robot also uses a more environmentally friendly technology than conventional preparations, since the starting materials of its operation are mainly water vapor and oxygen, without toxic products. “The reliable disinfection is one of the absolutely necessary conditions for the fight against the COVID-19 virus, and in hospitals it is of primary importance to protect medical staff and provide more effective treatment for patients. The robot will be of great benefit to us because it will save human labor that can be used for more urgent activities. In addition, the technology is more effective than the currently used sterilization tools and will significantly facilitate our work, "said Dr. Slavcho Bliznakov - Director of the University Hospital.

     

    Two hospitals in the country will also receive financial support. Plevenwasthefirstcityinourcountry to face the difficult battle with the new virus. ‘Dr. GeorgiStranski’UniversityMultiprofileHospitalforActiveTreatmentin the city will receive a donation of BGN 100 000 to help purchase medical supplies and equipment needed to cope with the epidemic. TheDirectorofthehealthinstitution Assoc.Prof.Dr. TsvetanLukanovsaid: ‘Our hospital has been at the forefront in the fight againstCOVID-19 from the beginning. This is a long and exhausting work that our medical professionalsendurewith a lot of professionalism and selflessness.But we are running out of material resources and these funds will be of great use at this time’.

    30.03.2020 Sofia VIVACOM and United Group donate BGN 900,000 to the Ministry of Health to help preventing the spread of COVID-19 in Bulgaria. The funds will be transferred to the donation account of the Ministry of Health, which was opened to support emergency hospitals. Several days ago, the ministry announced a donation campaign DMS SOLIDARNOST, which is aiming to gather 5 million levs. The sum, donated by VIVACOM and United group, covers almost 1/5 of the needed fund, which will be used for the most emergent needs of the hospitals in terms of the spreading COVID-19 infection.

    The leading independent telecommunications and media service provider for Southeast Europe, United Group will make donations to fight the disease in all countries in which it operates in the total amount of USD 3 million, out of which USD 1.2 million is donated in cash and USD 1.8 million in medical equipment. The group’s countries of operations include Slovenia, Serbia, Croatia, Bosnia and Herzegovina, Montenegro and Northern Macedonia.   In November 2019, United Group has agreed the acquisition of VIVACOM for EUR 1.2 billion, pending regulatory approval, in what is viewed to be one of the biggest transactions in the region.

    Second large-scale acquisition within nine months of BC Partners’ ownership Consolidates United Group’s position as the leading telecoms and media operator in South Eastern Europe

     

    Amsterdam and London, 7 November 2019: United Group, the leading telecoms and media business operating in South Eastern Europe, has agreed to acquire Vivacom, the largest telecoms operator in Bulgaria.

    This acquisition marks the second transaction since New York and London headquartered investment firm BC Partners’ March 2019 acquisition of United Group, in what was one of the largest ever transactions for the region. The acquisition will accelerate United Group’s growth, expand its geographic reach and cement its position as the industry leader in the region. United Group already operates in six countries in the region.

     

    Vivacom provides services to over 1.8 million unique customers. The company was the first telecommunications company in Bulgaria and today provides advanced services including fibre broadband, mobile communications and digital TV to private and commercial customers.

      

    The transaction is expected to close in the second quarter of 2020, subject to conditions including receipt of applicable antitrust approvals. The acquisition will be financed through a combination of new debt and cash on hand at United Group.

    VIVACOM`s mobile network has the best coverage in the country. Based on measurement of Speedtest Intelligence® data by Ookla®.

    VIVACOM`s mobile network has the best coverage in the country. The results are based on analysis by Ookla, of  Speedtest Intelligencefor the first half of 2019[1].

     

    VIVACOMmakes the highest result, compared with the tests of the other mobile networks, made by consumers with Speedtest®application by Ookla all over the country.

      

    The analysis of the gathered data from different locations in Bulagaria is made according to Ookla methodology. To win the award, VIVACOM achieved the highest Coverage Score™ , which combines both – the number of the locations, covered by an operator as well as the overall availability of service that it offers.

  • VIVACOM maintains its leadership position on the Bulgarian telecom market

    The company is No. 1 in total revenue for 2018 and for the first quarter of 2019

         For sixth consecutive year, VIVACOM is the number one operator in total revenue on the Bulgarian market – BGN 948 million for 2018;

         VIVACOM is again the leading IPTV operator;

         VIVACOM is the leader in providing fixed broadband;

     

    29.05.2019, Sofia For sixth consecutive year, VIVACOM maintains its leadership positionon the Bulgarian telecom market with total revenue of BGN 948 million at the end of 2018, which is a growth of 6.6% compared to 2017. The telecom also reports steady Adjusted EBITDA growth of 12.8% to a total of BGN 359.8 million, while capital expenditures increase by 3.6% – to BGN 187.5 million. This was announced by VIVACOM’s Chief Executive Officer Atanas Dobrev at the Integrated Annual Report presentation of the telecom. The event was held in the context of the tenth anniversary of VIVACOM. There are clear evidence that over the past ten years the corporation has established itself permanently on the Bulgarian market as an operator with extremely wide range of telecommunication solutions for private and business customers – mobile and fixed voice services, fiber-optic broadband, Satellite and Interactive TV (IPTV) of the latest generation, as well as individual solutions for the needs of corporate customers.

     

    VIVACOM''s leadership position is also supported by the data for the first quarter of this year. Total revenue for the period January – March 2019 is BGN 235.2 million. Compared to the same period last year, the company achieves a growth of 5.5%. Despite the highly competitive market, VIVACOM continues to accomplish Adjusted EBITDA growth of 30.5%[1] – to BGN 112.5 million.

     

    This year, once again, following the best European and global reporting and transparency practices, VIVACOM reported its financial results and non-financial KPIs in an Integrated Annual Report which also provides a comprehensive picture of the company''s performance in the past 2018.

     

    For a consecutive year, VIVACOM remains the most preferred provider of Interactive television (IPTV). VIVACOM is positioned as the leading IPTV operator with a market share of 50%[2] at the end of 2018. Subscribers of pay-TV services have increased with 4.7% to 468,000 compared to 447,000 in 2017. This is due to the increased demand for high-quality interactive services with rich content that meets customers’ needs.

     

    VIVACOM retains its position as a leader in the market’s fixed broadband segment. The total number of fixed broadband subscribers has increased with 2.8% to 444,000 compared to 432,000 in 2017. The growth is driven by the increase in the number of fiber-optic customers driven by the rising demand for high-speed capacity and reliable broadband service, provided by the company.

     

    By the end of 2018 VIVACOM reports 3,071,000 mobile customers while mobile service revenue market share reaches 30%, supported by average revenue per user (ARPU) growth up to BGN 12.90 for the fourth quarter of 2018 and respectively to BGN 13.20 for the period January – March 2019.

     

    VIVACOM provides 99.25% of population coverage[3] with 4G technology which enables high-speed connection through mobile network. The telecom reaffirms its position of the operator with fastest mobile network[4] in the country, measured by OOKLA for 2018.

     

    The Integrated Annual Report presented by Atanas Dobrev also includes an analysis of the added value which the telecom contributes to society as one of the largest employers and serious corporate donors.
